1. Introduction and Definitions
This comprehensive Terms and Conditions agreement (hereinafter referred to as 'Agreement') is established between Password, a registered business entity (hereinafter referred to as 'the Organization'), and any individual who joins the Equb through the Password application (hereinafter referred to as 'the Equb Member').
By accessing, creating an account with, or participating in any Equb offered through the Password platform, the Equb Member explicitly acknowledges that they have read, understood, and agree to be bound by this Agreement in its entirety.
1.1 Key Definitions
- Equb: A rotating savings and credit association system where members make regular contributions and take turns receiving the accumulated pool of funds.
- Organization/Password: The registered business entity operating the Password Equb platform and managing all Equb operations.
- Equb Member: Any individual who has completed registration and accepted these Terms and Conditions.
- Vehicle Equb: An Equb variant where members accumulate funds to acquire a vehicle of their chosen type upon winning the lottery draw.
- Cash Equb: An Equb variant where members accumulate funds as cash savings with periodic distributions through lottery draws.
- Lottery Draw: A random selection process conducted weekly (or monthly for certain Cash Equb types) to determine which member receives the accumulated pool.
- Round: One complete contribution cycle in the Equb process.
- Liber: The official vehicle ownership booklet/title document issued by relevant authorities.
- Collateral: Assets, guarantees, or securities provided by members to secure their commitment to the Equb.
- AML/KYC: Anti-Money Laundering and Know Your Customer compliance procedures.
- Business Day: Any day on which the Organization's office is open for business, excluding public holidays and weekends.
2. Effectiveness and Acceptance
2.1 Agreement Acceptance
This Agreement becomes effective and binding from the moment an Equb Member:
- Completes the registration process on the Password mobile application
- Reads and explicitly agrees to all terms and conditions by pressing the 'Agree' button
- Provides accurate personal information and required identification documents
- Makes the first contribution payment to the Equb.
2.2 Term and Duration
This Agreement shall remain in effect from the date of acceptance until completion of all Equb contributions. The Vehicle Equb shall be completed within three (3) years from commencement, ensuring all members become vehicle owners within this period. Cash Equb completion periods are determined based on the specific Equb type selected.
2.3 Modifications
The Organization reserves the right to modify these Terms and Conditions upon reasonable notice to all members. Members will be notified through the mobile application at least fourteen (14) days prior to any material changes taking effect. Continued participation constitutes acceptance of modified terms.
3. General Provisions
3.1 Eligibility Requirements
To become an Equb Member, an individual must:
- Be at least 18 years of age (or registered under legal guardianship if under 18)
- Possess a valid national identification document
- Have a stable, income-generating job with demonstrated capacity to make regular contributions
- Reside in the jurisdiction where the Organization operates
- Not be engaged in any illegal activities
- Comply with all local and international regulations, including AML/KYC requirements
3.2 Equb Categories and Pricing
The Organization offers the following Equb options:
Vehicle Equb Types:
- Electric Bajaj
- Hybrid Bajaj
- BYD Seagull
- Hybrid Dezire/Swift
- Sinotruck
- Kasaoni
Cash Equb Types:
- Daily Equb - Drawn once weekly on Sunday at 8:00 AM
- Weekly Equb - Drawn once weekly on Sunday at 8:00 AM
- Monthly Equb - Drawn on the 30th of each month at 10:00 AM
All vehicle prices and contribution amounts are stated weekly on the Password Equb mobile application and are subject to adjustment based on market conditions and price inflation. Members will be notified of any price adjustments through the mobile application.
4. Account Registration and Security
4.1 Registration Requirements
Upon registration, Equb Members must provide accurate and complete information including:
- Full legal name (as per government-issued identification)
- Valid national identification number or passport number
- Residential address
- Contact phone number and email address
- Employment information and income verification
- Bank account details for payment purposes
- Emergency contact information
4.2 Account Security Obligations
The Organization shall:
- Implement industry-standard security measures to protect member data
- Maintain secure servers with encryption protocols for all financial transactions
- Conduct regular security audits and vulnerability assessments
- Implement multi-factor authentication for account access
- Maintain access logs and monitor for suspicious activities
- Establish a incident response plan for data breaches
4.3 Member Account Responsibilities
Equb Members are responsible for:
- Maintaining the confidentiality of login credentials and account information
- Immediately reporting unauthorized access or suspicious activities
- Ensuring phone number and contact information remain accurate and current
- Securing their mobile device and application
- Logging out after each session, especially on shared devices
5. Anti-Money Laundering and Know Your Customer (AML/KYC)
5.1 KYC Verification Process
In compliance with international anti-money laundering regulations and Ethiopian legal requirements, the Organization shall conduct comprehensive Know Your Customer (KYC) verification for all members.
KYC procedures include:
- Verification of government-issued identification documents
- Confirmation of residential address through utility bills or official correspondence
- Income verification and source of funds assessment
- Cross-reference checks against national and international sanctions lists
- Beneficial ownership verification for members representing organizations
- Periodic re-verification at intervals determined by regulatory requirements
5.2 AML Compliance
Members shall not:
- Deposit or transfer funds obtained through illegal activities
- Use the Equb system for money laundering or terrorist financing
- Provide false or misleading information during registration or KYC verification
- Attempt to circumvent AML/KYC procedures through third-party accounts
- Engage in structuring (breaking large transactions into smaller ones to evade detection)
5.3 Reporting Obligations
The Organization shall file Suspicious Activity Reports (SARs) with relevant authorities when:
- Transactions exceed specified thresholds without adequate explanation
- Member behavior indicates potential involvement in illegal activities
- Information provided is inconsistent or deliberately misleading
- Member is flagged on national or international watchlists
6. Vehicle Equb Provisions
6.1 Vehicle Equb Mechanics
The Vehicle Equb operates as a rotating vehicle acquisition system with the following characteristics:
- Contribution Period: Commences immediately upon member acceptance and continues for the duration of the Equb round
- Lottery Commencement: Vehicle lottery draws shall commence after 20 consecutive contribution rounds have been completed
- Draw Schedule: Lottery draws occur weekly on Sundays at 9:00 AM, with the process broadcasted live on the Password mobile application
- Draw Period: The entire Vehicle Equb shall be completed within three (3) years from commencement
- Vehicle Models: All vehicles offered shall be manufactured from 2025 onwards and meet current safety and environmental standards
- Multiple Participation: Members participating in more than one full Vehicle Equb cycle shall sit out the next round upon winning one lottery
6.2 Referral Incentives
Members who successfully recruit and are responsible for ten (10) or more Equb members may be eligible to receive priority access to vehicle Equbs, subject to the Organization's discretion and approval.
6.3 Price Adjustments and Payment
Vehicle prices are subject to market fluctuations. If price inflation occurs before a member wins the lottery:
- The member shall pay the remaining balance based on the updated price
- Price updates are notified weekly through the mobile application in Birr amounts
- Members must continue contributions based on the Organization's updated pricing
- Members who win the lottery accept the price in effect at the time of draw
- No refunds are provided for price increases; however, members may switch to Cash Equb if the increase is unaffordable
6.4 Vehicle Purchase and Ownership
Upon winning the vehicle lottery, the Organization shall:
- Purchase the vehicle in the lottery winner's name
- Handle all vehicle registration, title transfer, and documentation
- Hold the Liber (vehicle title) until the Equb round is completed, with the option to place it with lending institutions or relevant authorities as collateral
- Facilitate transfer of the title to the member's name upon completion of the Equb round
- Cover known expenses related to vehicle purchase and registration, subject to member agreement
7. Cash Equb Provisions
7.1 Cash Equb Structure
The Cash Equb operates as a savings and distribution system with the following features:
- Equb Types: Daily, Weekly, and Monthly options with varying draw schedules
- Draw Schedule: Daily and Weekly Equbs drawn on Sundays at 8:00 AM; Monthly Equbs drawn on the 30th at 10:00 AM
- Live Broadcasting: All lottery draws are broadcasted live on the mobile application for transparency
- Rotation Rule: Members who win one complete lottery round shall sit out the next round
- Cash Distribution: Winners receive their accumulated funds minus a 5% service fee retained by the Organization
7.2 Cash Equb Payout Process
When a member wins a Cash Equb lottery:
- The Organization shall verify the member fulfills all eligibility requirements
- Member must present valid identification documents (national ID, passport, or driver's license)
- Member must provide any guarantor information required by the Organization
- Funds are released after successful verification, typically within one (1) business day
- Member may collect funds at the Organization's office or through designated banking partners
8. Rights and Obligations of the Organization
8.1 Core Obligations
The Organization shall:
- Track member payment compliance and ensure only members with current payments participate in lotteries
- Maintain and continuously improve the security of the Password platform and application
- Conduct lottery draws according to the published schedule and transparent procedures
- Broadcast all lottery draws live on the mobile application for member verification
- Maintain accurate records of all member contributions and transactions
- Provide regular statements to members detailing their contributions, standing, and upcoming draws
- Notify members immediately of any system changes, price adjustments, or procedural modifications
- Establish and maintain multiple payment collection methods and notify members of new methods in advance
- Verify accuracy of all member payments and promptly notify non-payers
8.2 Vehicle Equb Specific Obligations
For Vehicle Equb winners, the Organization shall:
- Facilitate vehicle purchase within thirty (30) days of lottery draw
- Manage all vehicle-related expenses including title transfer, registration, and road transport fees
- Maintain the Liber (vehicle title) as collateral and provide notifications regarding its status
- Facilitate transfer of the title to the member's name upon Equb completion
- Assist with insurance procurement and vehicle service arrangements when requested
- Monitor vehicle conditions and require notification if the vehicle is out of service for more than one (1) month
8.3 Default and Enforcement
In case of member default or breach of Agreement terms, the Organization reserves the right to:
- Suspend member account and lottery participation until payment is made
- Impose penalties as specified in this Agreement
- Seize provided collateral or guarantees to recover outstanding amounts
- Pursue legal action through competent courts to recover debts
- File reports with appropriate law enforcement authorities if illegal activities are suspected
- Repossess vehicles in case of persistent post-purchase payment default
8.4 Limitation of Organization Liability
Notwithstanding any other provision, the Organization shall not be held liable for:
- Loss or damage to vehicles resulting from member misuse or negligence
- Member inability to obtain insurance coverage
- Market price fluctuations beyond the Organization's control
- Government policy changes affecting vehicle imports or taxation
- Member vehicle accidents, theft, or damage not covered by insurance
- Technical issues with third-party payment processors, except where the Organization is directly responsible
9. Rights and Obligations of Equb Members
9.1 Payment Obligations
Equb Members shall:
- Make weekly (or specified period) contributions on time and in full
- Make payments exclusively through Organization-specified payment methods
- Ensure sufficient funds in their bank account to avoid payment failures
- Accept and pay any price adjustments for vehicles due to market inflation
- Continue payments even after winning the lottery draw until Equb completion
- Pay any applicable penalties within the specified timeframe together with regular payments
9.2 Participation Requirements
To be eligible for lottery participation:
- Members must have made all payments due up to and including the draw date
- Members with pending payments shall be automatically excluded from that week's/month's draw
- Members who have won a previous Equb round shall sit out the next consecutive round
- Members must maintain accurate profile information on the application
- Members must provide updated contact information promptly if changes occur
9.3 Collateral and Guarantee Requirements
For Vehicle Equb winners:
- Members must provide collateral as specified by the Organization before taking possession of the vehicle
- Acceptable collateral includes: immovable property, liquid assets, or third-party guarantees
- Members unable to provide required collateral shall take possession of the vehicle at Equb completion with additional guarantees
- Collateral may not be released until all Equb obligations are satisfied
9.4 Vehicle Equb Member Obligations
Upon winning and receiving a vehicle, members shall:
- Obtain comprehensive insurance coverage for the vehicle immediately
- Cover all vehicle-related costs including: title transfer fees, road transport fees, agreement drafting fees, insurance premiums, maintenance, GPS installation, administrative handling fees, and taxes
- Not sell, transfer, or pledge the vehicle until the Equb round is completed
- Maintain the vehicle in good condition and immediately report any damage or out-of-service periods exceeding one month
- Notify the Organization of any accidents, insurance claims, or legal disputes involving the vehicle
- Provide legally acceptable identity documents required for vehicle purchase (residence ID, national ID, tax clearance, marital status certificate)
- Pay commission fees according to the Organization's published schedule
- Continue making all Equb payments on schedule without interruption
9.5 Prohibited Conduct
Members shall not:
- Use vehicles or Cash Equb proceeds for illegal purposes
- Deposit money obtained through illegal activities into their Equb account
- Provide false or misleading information during registration or KYC verification
- Register using another person's phone number without explicit written consent
- Disclose confidential information received from the Organization
- Attempt to manipulate or interfere with the lottery draw process
- Harass, threaten, or abuse Organization staff or other members
- Engage in any fraudulent activities related to the Equb
10. Lottery Draw and Distribution
10.1 Draw Procedures and Transparency
All lottery draws shall:
- Be conducted according to a transparent, random selection process
- Be broadcasted live on the Password mobile application
- Include only members who have made all required payments
- Be witnessed by an independent observer or recorded for verification purposes
- Have results publicly announced immediately after draw completion
- Provide each eligible member an equal probability of selection (true random draw)
10.2 Draw Schedule
- Vehicle Equb: Weekly on Sundays at 9:00 AM, commencing after 20 contribution rounds
- Daily Cash Equb: Weekly on Sundays at 8:00 AM
- Weekly Cash Equb: Weekly on Sundays at 8:00 AM
- Monthly Cash Equb: On the 30th of each month at 10:00 AM
10.3 Winner Verification and Payout
Upon lottery draw selection: The Organization shall contact the winner within 24 hours of draw completion
- Winners must provide verification documents before accessing funds or vehicle
- For vehicles: Liber transfer and ownership documentation shall be prepared
- For cash: Funds shall be released after verification, typically within one business day
- Winners may collect funds at Organization office or through designated banking channels
- A 5% service fee is deducted from cash awards; vehicle costs are paid by winner
11. Payment Terms and Penalties
11.1 Contribution Amounts
Contribution amounts vary based on selected Equb type and are published weekly on the mobile application. Members acknowledge and accept that amounts may be adjusted to reflect vehicle price changes or market conditions, and such changes become binding upon notification through the application.
11.2 Payment Methods and Procedures
Members shall:
- Make all payments exclusively through Organization-specified payment channels
- Ensure funds are deposited into the Organization's designated account
- Make payments on the scheduled due date each week or month
- Maintain sufficient account balance to prevent payment failures
- Keep records of payment confirmations for their reference
11.3 Late Payment Penalties
Members shall incur a penalty of 2% of the round payment amount for any delayed payment. This penalty must be paid together with the delayed payment amount. Penalties are non-refundable and accrue regardless of the reason for delay.
11.4 Continuous Default
Delaying Equb contributions for more than three (3) consecutive rounds is not permitted and constitutes material breach of this Agreement. Should a member exceed three consecutive missed payments:
- Member is immediately suspended from lottery participation
- Member account access may be restricted
- Member is notified of the breach with a 7-day cure period
- If not cured within 7 days, the Organization may pursue legal remedies
- Member's place in the Equb may be forfeited
- Accumulated contributions may be returned minus applicable penalties, after Equb completion
11.5 Post-Winner Default
Members who win the lottery but subsequently default on payments face escalated consequences:
- Rounds 1-8: A 2% penalty is deducted from the member's total payments for each delayed round
- Round 9+: The Organization shall immediately file a lawsuit through competent courts; the member becomes liable for all court costs, attorney fees, and associated legal expenses
- Vehicle Recovery: For Vehicle Equb winners, the Organization may repossess the vehicle if payments remain outstanding after 9 rounds
- Collateral Seizure: All provided collateral or guarantees may be seized to recover outstanding amounts
12. Termination and Refunds
12.1 Voluntary Termination
Members may request termination of their Equb participation, subject to the following:
- Termination requests must be submitted in writing to the Organization
- Members must specify the effective date of termination (minimum 7 days notice required)
- Member account must not be in arrears at the time of termination
- Termination does not relieve member of outstanding payment obligations
- Once a member has won the lottery, termination is not permitted until all Equb rounds are completed
12.2 Refund Policy
Upon termination or completion of Equb participation, refunds shall be calculated as follows:
- Upon Completion: All members' contributions are fully accounted for; no refund is owed once the Equb cycle completes
- Voluntary Withdrawal: A 10% penalty is deducted from accumulated contributions; remaining funds are refunded after Equb completion
- Involuntary Termination: If a member is removed due to violations, a 10% penalty plus any outstanding penalties are deducted before refund
- No Interest: Members may not demand bank interest or any additional fees on refunded amounts
- Processing Time: Refunds are processed within 30 days of Equb completion or member withdrawal
12.3 Transition to Cash Equb
If a member becomes unable to continue with their chosen Equb type due to high costs of living or other hardship, the Organization may, at its discretion, facilitate transition from Vehicle Equb to Cash Equb. This transition requires a written application and must be approved by the Organization.
13. Data Privacy and Confidentiality
13.1 Personal Data Collection and Use
The Organization collects and processes personal data to:
- Verify member identity and conduct KYC/AML compliance
- Manage Equb accounts and process contributions
- Conduct lottery draws and communicate results
- Generate financial statements and tax documentation
- Provide customer service and handle disputes
- Comply with legal and regulatory requirements
- Improve platform security and functionality
13.2 Data Protection Standards
The Organization shall:
- Maintain data in secure, encrypted databases with access restricted to authorized personnel only
- Implement industry-standard cybersecurity measures including firewalls, intrusion detection, and regular security testing
- Conduct annual security audits and penetration testing to identify vulnerabilities
- Maintain incident response plans for data breaches or unauthorized access
- Notify members within 48 hours of any confirmed data breach affecting personal information
- Comply with Ethiopian data protection laws and international privacy standards
13.3 Confidentiality Obligations
Members shall:
- Keep all confidential information provided by the Organization strictly confidential
- Not disclose login credentials, account details, or personal information to third parties
- Bear full liability for any damages resulting from their failure to maintain confidentiality
- Immediately report any suspected unauthorized access or data breaches
13.4 Limitation on Data Sharing
The Organization shall not share member data with third parties except:
- To comply with court orders or legal requirements
- For regulatory reporting to financial authorities and law enforcement
- With vehicle sellers/financing institutions for Vehicle Equb winners
- With banking partners for payment processing
- With insurance providers for vehicle Equb coverage verification
14. Fraud Prevention and Account Suspension
14.1 Fraud Detection Measures
The Organization employs comprehensive fraud detection mechanisms including:
- Transaction monitoring systems to identify suspicious patterns
- AI-powered anomaly detection for unusual account activities
- Device fingerprinting and location verification
- Cross-reference checks against known fraud databases
- Manual review of high-risk transactions and member activities
- Cooperation with law enforcement for investigation of suspected criminal activities
14.2 Fraudulent Activities
The following shall be considered fraudulent conduct:
- Providing false identity or personal information during registration
- Using another person's identity or financial account to participate in Equb
- Manipulating or interfering with the lottery draw process
- Depositing proceeds from illegal activities
- Attempting to manipulate system or application to gain unfair lottery advantage
- Making false claims regarding vehicle ownership or collateral
- Collusion with Organization staff to influence lottery results
14.3 Account Suspension
The Organization may immediately suspend a member's account if:
- Suspected fraudulent activities are detected
- Member has engaged in illegal activities or criminal conduct
- Member is listed on national or international sanctions lists
- Member has violated AML/KYC compliance requirements
- Payment fraud or unauthorized transactions are detected
- Member poses a risk to the integrity of the Equb system
14.4 Investigation and Appeal Process
Members suspended on suspected fraud shall:
- Be notified in writing within 24 hours of suspension with reason specified
- Have the right to appeal the suspension within 14 days by submitting evidence
- Have their case reviewed by an independent dispute resolution committee
- Receive written decision within 30 days of appeal submission
- May take legal action if suspension is determined to be unjustified
15. Dispute Resolution
15.1 Dispute Categories
This section applies to disputes arising from:
- Disagreements regarding payment amounts or confirmation
- Lottery draw results or winner selection
- Vehicle quality, condition, or delivery issues
- Account suspension or termination decisions
- Data privacy or personal information handling
- Breach of contractual obligations by either party
15.2 Amicable Resolution (First Step)
Any disagreement shall first be addressed through amicable discussion and mutual resolution. Members shall:
- Submit written notice of dispute to the Organization within 30 days of the disputed event
- Clearly state the nature of the dispute and relief sought
- Provide supporting documentation or evidence
- Participate in good faith discussion with Organization representatives
- Allow a reasonable period (minimum 14 days) for resolution attempts
15.3 Mediation
If amicable resolution fails, either party may request mediation through:
- A mutually agreed-upon neutral third party or professional mediator
- A mediation center accredited in Ethiopia
- The dispute resolution mechanism provided by the Organization if available
- Mediation costs shall be shared equally between parties unless otherwise agreed
15.4 Court Resolution
If amicable resolution and mediation fail, the matter shall be submitted to competent courts with jurisdiction. The parties agree to:
- Submit to the exclusive jurisdiction of courts in Addis Ababa, Ethiopia
- Resolve disputes according to Ethiopian law and legal procedures
- Bear their own costs if no damages are awarded to either party
- Accept court decisions as binding and final
- Pay costs and attorney fees if determined liable by the court
16. Compliance and Legal Framework
16.1 Legal Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia. All parties acknowledge and accept the exclusive jurisdiction of Ethiopian courts for any legal proceedings arising from this Agreement.
16.2 Regulatory Compliance
The Organization commits to:
- Comply with all applicable Ethiopian financial regulations and licensing requirements
- Follow all AML/KYC regulations established by Ethiopian authorities
- Maintain reserves and financial records as required by law
- File required reports with tax authorities and regulatory bodies
- Cooperate fully with law enforcement and regulatory investigations
- Comply with consumer protection laws and regulations
- Maintain adequate insurance coverage for operational risks
16.3 Death and Inheritance
If a member dies while an active participant:
- Inheritance Rights: Only a legal heir with inheritance rights confirmed and presented by a competent court is eligible to receive the Equb funds
- Heir Obligations: The heir assumes all obligations including: outstanding balance payments, guarantee debts, all agreed fees, and interest on arrears
- Claim Procedure: Heirs must submit a court-certified inheritance document along with the deceased's Equb account information
- Processing Time: The Organization shall process inheritance claims within 60 days of receiving complete documentation
- Vehicle Equb: If the deceased had won a vehicle, the heir may assume the Vehicle Equb obligations or opt to receive a cash settlement equal to the vehicle value less outstanding amounts
16.4 Criminal Activity Reporting
All Equb members shall report any information regarding criminal activities related to the Equb to the relevant government authorities. Members are legally obligated to cooperate with law enforcement investigations. Failure to report known criminal activities may result in member liability under Ethiopian law.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ORGANIZATION SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, or business opportunities
- Member inability to obtain vehicle insurance or financing
- Third-party claims or disputes involving member conduct
- Technical malfunctions in third-party payment systems (except where Organization is directly responsible)
- Market price fluctuations or economic conditions affecting vehicle values
- Member vehicle accidents, theft, vandalism, or damage claims
The Organization's total liability to any member shall not exceed the total contributions made by that member.
18. Amendment of Terms
18.1 Right to Amend
The Organization may amend these Terms and Conditions at any time. Material amendments shall require fourteen (14) days' advance written notice through the mobile application.
18.2 Amendment Procedure
Upon amendment notice: The Organization shall clearly identify all amendments with effective dates
- Members may request clarification regarding changes
- Continued participation after the effective date constitutes acceptance of amendments
- Members may terminate Equb participation if they disagree with amendments (subject to termination provisions).
19. Severability and Entire Agreement
19.1 Severability
If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a competent court, that provision shall be severed, but the remaining provisions shall continue in full force and effect. The severed provision shall be modified to the minimum extent necessary to make it enforceable.
19.2 Entire Agreement
This Agreement, together with any amendments published by the Organization, constitutes the entire agreement between the parties. It supersedes all prior discussions, negotiations, and agreements regarding the Equb services. No oral agreements, side arrangements, or verbal modifications shall be binding on the Organization.
19.3 Waiver
The failure of the Organization to enforce any right or provision of this Agreement shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by authorized representatives of the Organization.
20. Recommendations and Best Practices
20.1 For Equb Members
To ensure a successful Equb experience and minimize risks, members should:
- Budgeting: Plan your household budget to ensure consistent payment capability throughout the Equb period
